Let’s all acknowledge that anyone who works in the creative sphere shudders at the thought of being suffocated by confusing legal terminology or drowning in reams of contractual verbiage that only the most skilled lawyers can make sense of. Frankly we just want to get the job done in the best possible way, artist inspired-client happy...done….if only that was all there is to it. Alas the world of technology seems to need us to be one step ahead of the game. Identity theft, AI voice theft, fake clients, fake artists…..quick! Run! Hide! The need to protect both of us is paramount. But who has the time (or the weary inclination) to read the small print these days?
So Lingo Ninja have tried to cut to the mustard. To get down to the things that matter but, like any Ninja warrior worth their salt knows, accept that shit happens and circumstances change. So here is a contractual framework that covers the basic protection for you and for us Ninjas. It’s a starting point. Happy to modify, happy to change, happy that you’re even reading this!
At the end of the day – even Ninjas wear protection. And so should you.
Ninja Protection aka Terms & Conditions
All prices quoted are pro-rata.
All copyrights, intellectual property rights, broadcast right and any other rights associated with the author (for clarity, the artist/worker hired by the hiring company) and the author’s works and / or performances shall remain with the author. Upon full payment of this invoice, the following license shall be granted by the author for the usage rights of the work listed in this invoice as follows:
License details
The author’s work may be used by the hiring company for a period of <insert period> unless otherwise stated, upon which time the work shall cease to be used. Or an additional usage paid (equal to the usage payment in this invoice) shall be made to the author. The author’s works are to be used for the agreed product or service and any of the platforms or mediums detailed in the invoice line items and not in any additional product or services in the future unless otherwise stated. The author’s works may be used in the geographical location as specified in the invoice line items, unless otherwise stated. If no geographical region is stated then the license specifies that this is the hiring company’s country location only. The hiring company may not transfer the works, nor this license to any third parties without the written consent of the author.
Re-recordings
The author will correct any mistakes made (that are the fault of the author) on the works free of charge and will work on a goodwill and best-endeavour basis for subjective changes requested to the works of the hiring company, however, any additional works requested by the hiring company will be invoiced separately as agreed between the author and the hiring company.
Artificial Intelligence / Synthetic Voice
Client expressly agrees not to utilize any portion of the recording or performance of Talent for purposes other than those specified in the initial Agreement between the parties including but not limited to creation of synthetic voices or for machine learning.
Specifically, Client shall not utilize any recording or performance of Talent to simulate Talent’s voice or likeness, or to create any synthesized or “digital double” voice or likeness of Talent.
Transferring Files
Client specifically agrees not to sell or transfer ownership of all or part of any of the recordings or performance of Talent to any third party without Talent’s knowledge and consent.
Client agrees not to enter into any agreements or contracts on behalf of Talent which utilizes all or any part of any of the recordings or performance of Talent without Talent’s knowledge and consent.
Client agrees that any recordings or performances stored in digital format will be reasonably stored so that unauthorized third parties may not gain access to the files containing Talent’s voice or likeness, and if such files are stored in “the cloud” Client agrees to safeguard same through encryption or other “up-to date” technological means.
